Terms of Service
Effective date: October 11, 2026
These terms are an agreement between Deep ATL LLC, doing business as Coverping ("Coverping," "we," "us"), and the business that signs up for the service ("Customer," "you"). Staff members who receive Coverping messages are covered by the SMS program and Privacy Policy; sections 4, 9, 10, and 11 also apply to them.
1. The service
Coverping is a text-message service that helps a Customer's staff find coverage for shifts they cannot work. A staff member texts Coverping, Coverping asks eligible coworkers from the Customer's roster, relays responses, requests manager approval where configured, and confirms the result. The Customer configures its roster, roles, locations, and scheduling rules.
2. Accounts and administration
You must be authorized to bind the Customer. You are responsible for the accuracy of your roster, including that each mobile number belongs to the staff member named and that you have the right to enroll them in a workplace texting program. You are responsible for your managers' use of the service and for keeping your rules current.
3. Staff enrollment and consent
Adding a staff member to the roster causes Coverping to send that person one opt-in message. No further messages are sent to that person unless they reply YES. You agree not to enroll anyone who has told you they do not want workplace texts, not to attempt to opt someone in on their behalf, and to honor a staff member's opt-out.
4. SMS program terms
Coverping sends shift coverage requests, replies, approvals, and confirmations by SMS to staff who have opted in. Message frequency varies with coverage activity. Message and data rates may apply. Reply STOP to opt out, HELP for help, or email help@coverping.com. Carriers are not liable for delayed or undelivered messages.
5. Fees and billing
- You provide a valid payment card at signup. Your card is stored by our payment processor; we do not store card numbers.
- Fees are published at coverping.com/pricing and may include a per-covered-shift fee, a recurring fee per location, and one-time setup fees for integrations. A "covered shift" is a coverage request that reaches confirmed status in the service.
- Any free covered shifts offered at signup apply once per Customer business, not per location, and have no cash value.
- Fees are charged to your card monthly in arrears, or as stated at checkout for recurring and one-time items. Prices may change with 30 days' notice.
- If a charge fails, we may suspend the service until payment is made. Fees are non-refundable except where required by law or stated in writing.
6. Acceptable use
You will use Coverping only for scheduling coverage among your own staff. You will not use it to send marketing, to contact people who are not your staff, to send unlawful, harassing, or discriminatory content, or to attempt to circumvent its consent, rate, or safety controls. We may suspend accounts that violate this section.
7. Dormant accounts
An account with no coverage requests for 90 days may be paused and its dedicated phone number released after notice to the account's administrator. Data is retained per the Privacy Policy and the account can be reactivated.
8. Your data
You own your roster, rules, and message content. You grant us the right to use them to provide, support, and improve the service, and to produce aggregated, de-identified statistics. The Privacy Policy describes how we handle personal information.
9. No guarantee of coverage
Coverping helps you find coverage; it does not guarantee that any shift will be covered, that any staff member will respond, or that messages will be delivered on a particular schedule. Carrier delivery, device settings, and staff availability are outside our control. You remain responsible for staffing your business and for compliance with wage, hour, scheduling, and employment laws that apply to you, including any overtime or predictive-scheduling rules. Coverping's rule checks are an aid, not legal compliance.
10. Disclaimers and limitation of liability
The service is provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost revenue or profits, arising from the service or an uncovered shift. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
11. Suspension and termination
You may cancel at any time from your account or by emailing help@coverping.com; fees already incurred remain due. We may suspend or terminate for breach of these terms, non-payment, or risk to the service or carriers. On termination, outstanding coverage requests are closed and the Privacy Policy's retention terms apply.
12. Changes to the service and these terms
We may change the service and these terms. Material changes will be communicated by email to the account administrator at least 30 days before they take effect. Continued use after that date is acceptance.
13. General
These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Fulton County, Georgia. If any provision is unenforceable, the rest remains in effect. These terms, the Privacy Policy, and the pricing page are the entire agreement. You may not assign this agreement without our consent; we may assign it in connection with a merger or sale.
